Online gaming operator Gameskraft Technologies Private Limited has been penalised by the Registrar of Companies in Bangalore for failing to file company resolutions on time under the Companies Act, 2013. The order, dated May 16, 2025, followed a suo-motu application the company filed voluntarily.

The Nature of the Violation
The regulator found that Gameskraft filed its required e-form MGT-14 on April 4, 2025, even though resolutions had been passed in its EGM held September 30, 2022. Section 117(2) of the Companies Act mandates timely filing of such documents, and the delay was deemed a violation.
Adjudicating officer Sanjay Sood issued penalties of ₹98,500 on the company itself. Directors and officers including Ramesh Prabhu, Deepak Singh, Vikas Taneja, Divya Alok Agarwal, and Vimal Kumar Chawla faced individual fines of up to ₹50,000, to be paid from personal income.
The situation became more complex with the disappearance of director Ramesh Prabhu. The company has alleged that he siphoned off over ₹270 crore before going missing in March 2025, shortly after reportedly sending a confession email.

The ROC order directed all penalties to be paid within 90 days, warning that failure to comply could bring stricter consequences under Section 454(8) of the Act. The company has the option to appeal to the Regional Director in Hyderabad within 60 days.
Shutdown of Money Gaming
Gameskraft announced in April that it would close money gaming operations following Parliament’s passage of a new law, which will impose heavy penalties starting October 1, banning all such activities. The company stated it would comply with the legislation and not challenge the ban in court.
