Penn Entertainment has welcomed two new members to its Board of Directors following a recent shareholder meeting, but the process leading up to the appointments came with some friction.

At the company’s 2025 Annual Meeting of Shareholders, held in Wyomissing, shareholders elected both Johnny Hartnett and Carlos Ruisanchez as directors. Penn stated that both individuals bring key experience in both digital and retail gaming, areas central to the company’s growth strategy.
In its statement following the election, Penn Entertainment expressed appreciation for shareholder involvement and shared plans to continue incorporating feedback gathered over recent months. The company said it is focused on aligning with shareholder expectations as it works to meet broader goals.
Penn’s board expansion did not happen without dispute. HG Vora Capital Management filed a lawsuit against the company in the United States District Court for the Eastern District of Pennsylvania. The firm alleges that Penn acted against shareholder interests by decreasing the number of board seats up for election this year from three to two.
In the lead-up to the meeting, Penn publicly responded to Institutional Shareholder Services (ISS) and urged investors to support the two nominees—Hartnett and Ruisanchez—despite the ongoing disagreement. Both were eventually voted in.
Penn has promised further conversations with investors going forward. “We look forward to further dialogue with our shareholders about our Board’s composition and skillset evolution, as well as Penn’s executive compensation program and strategic priorities, to ensure alignment with our shareholders,” the company stated.
Penn Entertainment currently operates across 28 jurisdictions in North America and has been active in both digital gaming and traditional casino markets.
