Winvia Entertainment has agreed to acquire The Giveaway Guys and Win Life Competitions for up to $25.35 million, adding two more brands to a UK prize draw portfolio that already includes BOTB, Click Competitions and Rev Comps.

The latest acquisition arrives during a wider consolidation of the UK prize draw sector. Consultancy Rokker estimates that more than 1,000 operators now run prize draw competitions in Britain, while acquisition activity has accelerated during 2026.
Winvia has played a major role in that consolidation through earlier purchases of BOTB, Click Competitions and Rev Comps. The company now plans to add The Giveaway Guys and Win Life, while transferring the brands onto the proprietary Winvia technology platform.
The financial case is based on adjusted EBITDA of about $5.64 million for the 12 months ending June 30. Winvia agreed an initial cash payment of about $20.52 million, followed by approximately $4.82 million one year after completion.
A further earn out could follow. Winvia will calculate that payment at 2.1 times adjusted EBITDA for the 12 months ending on the second anniversary of completion, less the deferred payment.
The asset purchase agreement covers the brands and operating assets rather than the underlying companies. Winvia will not take on liabilities, cash or trade receivables.
Integration plans include more automation, migration onto Winvia technology and new subscription products designed to increase recurring revenue. Some employees will also transfer into the wider group.
The deal comes after a strong first half for Winvia. Group net revenue reached $145.5 million during the six months ending June 30, up 43% year on year, while adjusted EBITDA increased to about $22.8 million. Prize draw gross revenue rose by more than 15%.
Winvia has also started using its technology outside its directly owned brands. Villa Win, developed for Aston Villa fans, registered more than 9,000 users during September, its first month of operation.
The wider sector is also becoming more structured. A UK voluntary code for prize draw operators took effect in May, although Rokker reported in August that fewer than 20% of estimated active operators had signed it. Prize draws currently sit outside direct Gambling Commission regulation when they meet the relevant legal requirements.
