The order, dated May 16, 2025, followed a suo-motu application the company filed voluntarily.<\/p>\n<hr>\n<p><strong><em>Good to Know<\/em><\/strong><\/p>\n<ul>\n<li><strong><em>The filing delay was 886 days from the Extraordinary General Meeting in September 2022.<\/em><\/strong><\/li>\n<li><strong><em>Total penalties were nearly \u20b92.5 lakh, covering both the company and its directors.<\/em><\/strong><\/li>\n<li><strong><em>Gameskraft shut down money gaming operations last month following a new national ban.<\/em><\/strong><\/li>\n<\/ul>\n<hr>\n<h2>The Nature of the Violation<\/h2>\n<p>The regulator found that Gameskraft filed its required e-form MGT-14 on April 4, 2025, even though resolutions had been passed in its EGM held September 30, 2022. Section 117(2) of the Companies Act mandates timely filing of such documents, and the delay was deemed a violation.<\/p>\n<p>Adjudicating officer Sanjay Sood issued penalties of \u20b998,500 on the company itself. Directors and officers including Ramesh Prabhu, Deepak Singh, Vikas Taneja, Divya Alok Agarwal, and Vimal Kumar Chawla faced individual fines of up to \u20b950,000, to be paid from personal income.<\/p>\n<p>The situation became more complex with the disappearance of director Ramesh Prabhu. The company has the option to appeal to the Regional Director in Hyderabad within 60 days.<\/p>\n<h2>Shutdown of Money Gaming<\/h2>\n<p>Gameskraft announced in April that it would close money gaming operations following Parliament\u2019s passage of a new law, which will <a href=\"https:\/\/igaming.org\/casino-news\/online-gambling-ban-in-india-to-begin-october-1-with-strict-penalties\/\">impose heavy penalties starting October 1<\/a>, banning all such activities.
