Both companies\u2019 boards have approved the transaction, and it is expected to close by the end of 2025. The deal will reshape Intralot\u2019s footprint in the global gaming and lottery industry, while also giving Bally\u2019s a stronger position in the European market.<\/p>\n<hr>\n<p><em><strong>Good to know<\/strong><\/em><\/p>\n<ul>\n<li><em><strong>The deal includes $1.8 billion in cash and $1.1 billion in newly issued Intralot shares.<\/strong><\/em><\/li>\n<li><em><strong>Intralot will raise up to $471.5 million through a share offering after the deal closes.<\/strong><\/em><\/li>\n<li><em><strong>Bally\u2019s is expected to become the majority shareholder of Intralot.<\/strong><\/em><\/li>\n<\/ul>\n<hr>\n<p>Intralot\u2019s founder and chairman, Sokratis Kokkalis, called it a big moment for both the company and Greece. He said the acquisition will grow Intralot\u2019s operating profits and expand its reach in online gaming. At the same time, he believes it will strengthen Greece\u2019s position as a destination for foreign investment.<\/p>\n<p>The funding behind the acquisition includes debt financing commitments of about $1.9 billion from Citizens Bank, Deutsche Bank, Goldman Sachs, and Jefferies. Intralot plans to use the proceeds to refinance parts of its current debt. Bally\u2019s will also use its share of the proceeds to pay off secured debt.<\/p>\n<p>Once the deal is complete, the new structure will bring leadership changes. Robeson Reeves, Bally\u2019s current CEO, will step in as CEO of Intralot. He will keep his current position at Bally\u2019s as well. Intralot also plans to stay listed on the Athens Stock Exchange and is preparing a share capital increase of up to $471.5 million, pending all the needed approvals.<\/p>\n<p>Bally\u2019s already holds the largest stake in Intralot and will become the majority shareholder once the transaction is completed.
