Better Collective A\/S\u2019s purchase of Playmaker Capital Inc. has received overwhelming support from shareholders at this critical juncture. At its special shareholder meeting on January 22, 2024, the digital sports media company\u2014which is well-known for providing authentic content experiences across several sports media brands\u2014saw a strong display of support.<\/p>\n

The overwhelming consensus among common shareholders on the strategic alignment between Better Collective and Playmaker Capital is demonstrated by their positive vote. The purchase, which was arranged as a plan of arrangement in accordance with the Business Corporations Act, was enthusiastically approved, constituting a noteworthy achievement for both organizations.<\/p>\n

Key Approvals and Path to Completion<\/h2>\n

The process of completing the transaction is not without its regulatory complexities, though. At least two-thirds of the votes cast by company shareholders at the meeting must be approved for the arrangement to be completed. Furthermore, it is necessary to receive a majority of votes, with the exception of those covered by Multilateral Instrument 61-101 \u2013 Protection of Minority Security Holders in Special Transactions (MI 61-101).<\/p>\n

The sale is expected to close in early February, pending approval from the Minister of Canadian Heritage, a final ruling by the Ontario Superior Court of Justice (Commercial List), and the satisfaction or waiver of conditions mentioned in the arrangement agreement dated November 6, 2023.<\/p>\n
