The offer period is expected to close around September 15.<\/p>\n<hr>\n<p><strong>Good to Know<\/strong><\/p>\n<ul>\n<li>Candle Lake had to launch the bid after its Evolution holding reached about 30.02%.<\/li>\n<li>Evolution shares closed at about SEK 825.60 on August 24, nearly 19% above the offer price.<\/li>\n<li>Candle Lake has said it does not intend to acquire all remaining Evolution shares.<\/li>\n<\/ul>\n<hr>\n<h2><strong>Evolution Board Says SEK 695 Is Too Low<\/strong><\/h2>\n<p>The main issue is price. Candle Lake offered SEK 695 in cash for each Evolution share on August 13, but the stock had climbed well beyond that level by the time the board issued its recommendation.<\/p>\n<p>Evolution closed at SEK 820 on August 21 and around SEK 825.60 on August 24. At that level, the market price stood almost 19% above the bid.<\/p>\n<p>The board said the offer \u201cdoes not reflect the fair market value of Evolution\u201d. It considered the current share price, financial position and future prospects before recommending that investors reject the bid.<\/p>\n<p>Candle Lake did not launch the offer because it decided to buy the whole company. Swedish takeover rules triggered the requirement after its holding crossed the 30% threshold on July 24, reaching about 30.02% of shares and votes.<\/p>\n<p>The SEK 695 price matched the Evolution closing price on July 24. However, it already represented a 5.7% discount to the SEK 737.2 closing price on August 12, one day before the bid announcement.<\/p>\n<p>Evolution has also continued buying back shares. The company acquired 895,687 shares between August 17 and August 21, after purchasing 972,212 during the previous week.<\/p>\n<p>Candle Lake has said it does not plan material changes to Evolution operations, management, sites or employee terms.
