MGM reportedly believes the current price undervalues the casino group, while its shares have traded close to the proposed amount.<\/p>\n<p>JPMorgan Chase advisers and other bankers are helping Diller explore financing. People Inc said available cash, outside equity and other funding sources could support the purchase.<\/p>\n<p><em>\u201cWe believe that MGM\u2019s assets and businesses are not currently realizing their full potential in the public markets and that it will be difficult to correct this situation in MGM\u2019s current form as a public company,\u201d<\/em> Diller said.<\/p>\n<p>MGM Chief Financial Officer Jonathan Halkyard offered similar context one day after the bid. He said domestic operations traded at \u201ca very low multiple\u201d and called Diller assessment \u201cgratifying.\u201d<\/p>\n<p>Halkyard also said investors sometimes <em>\u201cjust aren\u2019t doing the work to value the sum of the parts.\u201d<\/em><\/p>\n<p>That mix includes Las Vegas resorts, international casinos, table gaming and online betting through BetMGM. Such a wide portfolio can make MGM harder for public investors to price as one company.<\/p>\n<p>Diller arrived only days after Caesars Entertainment accepted a $17.6 billion sale to Tilman Fertitta. Fertitta Entertainment will pay $5.7 billion for Caesars equity and assume about $11.9 billion in debt.<\/p>\n<p>The two proposals point to renewed casino sector consolidation. Operators face softer demand from some lower and middle income Las Vegas visitors, while online betting and prediction markets add new competition.
